Terms of Service
These terms govern your use of gemdisk.com and any quotation, sample or order that follows from it. They are written for business customers — distributors, equipment makers and OEM/ODM buyers.
1. Acceptance of these terms
By using this website, sending us an enquiry, requesting a sample or placing an order, you agree to these terms. If you are agreeing on behalf of a company, you confirm that you are allowed to do so.
If you do not accept these terms, please do not use the site or order from us. If you have a signed supply agreement with us, that agreement takes precedence over these terms wherever the two differ.
2. Use of this website
2.1 What you may do
- Read and download our product information for the purpose of evaluating or buying our products.
- Share our product pages and datasheets internally, or with your own customers, as part of selling equipment that uses our drives.
- Contact us for a quotation, a sample or technical support.
2.2 What you may not do
- Copy our text, images or datasheets onto another website, or use them to present our products as your own.
- Use automated tools to scrape the site, or to submit enquiries in bulk.
- Attempt to access parts of the site or our systems that are not meant for you.
- Use the site in any way that breaks the law, or that would damage the site or other users.
3. Products, quotations and orders
3.1 Product information
The specifications, capacities and performance figures on this website are provided to help you choose a part. They describe our standard products and are not a guarantee that a particular drive will suit a particular machine. Where a specification matters to you, confirm it in writing with us before ordering, and test a sample.
We may change designs, firmware or components without notice. Where a change affects a specification you have already ordered against, we will tell you before shipping.
3.2 Quotations
A quotation is valid for the period stated in it. Memory and SSD pricing moves with NAND flash supply, and lead times move with our production schedule, so we do not fix a standard validity period on this page. We will always tell you how long a quotation holds at the time we send it, and if anything changes before you confirm the order we will let you know straight away.
Quotations are based on the specification, quantity and delivery terms stated in them. Changing any of those may change the price.
3.3 Minimum order quantity
Our minimum order quantity depends on the part number and the configuration, because it is driven by how the drive is built and how it is packed. We confirm the exact figure with every quotation, and it is stated on the quotation itself.
Samples and trial orders below the production minimum are available on request, and are charged at the sample price quoted for the specific solution.
3.4 Samples and production lead time
Samples are normally ready in 7–10 days, and production orders in 7–10 days after we receive your confirmation and, where required, your deposit. These periods are working-day estimates and may be longer during holidays or when a component is short.
3.5 OEM and ODM work
For OEM and ODM projects you set the requirements — packaging, casing, labelling and target price — and we build to them. We do not grant exclusivity on a product or a market unless we have agreed it in writing.
4. Intellectual property
Everything on this website — text, photographs, layouts, the GemDisk name and logo — belongs to us or is used with permission. You may not reproduce it commercially without our written consent.
If you send us your brand name, artwork or label design for an OEM order, you confirm that you own it or have the right to use it. You keep ownership of your artwork; you give us permission to use it only to produce and ship your order.
Product names such as M.2, mSATA and SATA are industry standards and belong to their respective bodies. Our use of them describes compatibility, not sponsorship.
5. Disclaimers
The website and its content are provided on an “as is” basis. We work to keep the information accurate and current, but we do not warrant that every page is free of errors or that the site will be available without interruption.
Technical advice we give by email or WhatsApp is given in good faith, based on the information you provide. It does not replace your own testing of the drive in your own equipment, which remains your responsibility.
6. Limitation of liability
To the extent permitted by law, our total liability arising from your use of this website, or from any quotation or order, is limited to the amount you paid us for the products concerned.
We are not liable for indirect or consequential loss — including lost profit, lost production, or the cost of reworking equipment — even if we were told such loss was possible. Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence.
7. Indemnification
You agree to indemnify us against claims, losses and costs arising from your breach of these terms, from your misuse of the website, or from artwork, brand names or specifications you supplied to us for an OEM or ODM order.
8. Export compliance
Our products are exported from China and may be subject to export control and import rules in China and in your country. You are responsible for obtaining any import licence, certification or registration your country requires, and for complying with the export rules that apply to you.
You confirm that you are not located in, and will not supply our products to, a country or party subject to trade sanctions, and that you will not use them in weapons or in any application prohibited by law.
9. Privacy
How we handle the information you send us is set out in our Privacy Policy, which forms part of these terms.
10. Changes to these terms
We may update these terms from time to time. The version on this page, with the “last updated” date at the top, is the version that applies. Continuing to use the site after a change means you accept the updated terms.
11. Termination
We may suspend or block access to the website if we believe these terms have been broken. Ending website access does not cancel orders or supply agreements that are already in place.
12. Governing law and disputes
These terms are governed by the laws of the Hong Kong Special Administrative Region. The parties will first try to settle any dispute through good-faith discussion. If that fails, the dispute will be referred to and finally resolved by arbitration in Hong Kong administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted.
The seat of arbitration is Hong Kong. The language of the arbitration is English. The arbitration award is final and binding on both parties.
This does not prevent either party from applying to a competent court for interim relief, such as an injunction to protect intellectual property.
13. Force majeure
Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control — including natural disasters, epidemics, war, strikes, government action, transport disruption or a shortage of components from our own suppliers. The affected party will tell the other as soon as it can, and the parties will work together on a revised schedule.
14. General
- If any part of these terms is found unenforceable, the rest stays in force.
- Our failure to enforce a term is not a waiver of it.
- You may not transfer your rights under these terms without our written consent.
- These terms, together with any signed agreement and our Privacy Policy, are the whole agreement between us on this subject.
